These Terms of Service ("Terms") govern your access to and use of AccessHive's identity and access management platform and related services ("Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using AccessHive, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using AccessHive on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

AccessHive provides an identity and access management platform designed for digital marketing agencies. The Services include automated provisioning and deprovisioning of access to third-party marketing platforms, audit trail generation, compliance reporting, and related features as described on our website.

3. Account Registration

To use the Services, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.
• Ensuring that your team members comply with these Terms.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights.
• Access or manage accounts on third-party platforms without proper authorization from the account owners.
• Attempt to bypass, disable, or interfere with security features of the Services.
• Use the Services for any unauthorized or illegal purpose, including unauthorized access to third-party systems.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Transmit malware, viruses, or any other harmful code through the Services.

5. Intellectual Property

The Services, including all software, designs, text, graphics, and other content, are owned by AccessHive and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during the subscription term.

You retain all rights to your data. By using the Services, you grant AccessHive a limited license to process your data solely to provide the Services.

6. Data Processing

AccessHive processes data on your behalf as a data processor. We will process your data only in accordance with your instructions and applicable data protection laws. Our data handling practices are described in our Privacy Policy. For enterprise customers, we offer Data Processing Agreements (DPAs) upon request.

7. Payment Terms

Paid plans are billed in advance on a monthly or annual basis. Charges are non-refundable except as required by law or as explicitly stated in your subscription agreement. We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

If payment fails, we will provide reasonable notice before suspending access to the Services.

8. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.

9. Limitation of Liability

To the maximum extent permitted by law, AccessHive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability shall not exceed the amount you paid to AccessHive in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless AccessHive and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may terminate your account at any time by contacting our support team. We may suspend or terminate your access to the Services if you violate these Terms, fail to pay fees, or if we are required to do so by law.

Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days following termination, after which it will be deleted unless retention is required by law.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
